Terms of Service

These terms govern your use of Vigilimate AI: this website, the learner and administrator portal, and the Vigilimate AI mobile apps for iOS and Android (together, the "Service"). By using the Service you agree to them. If you are agreeing on behalf of an organization, you confirm you are authorized to bind that organization.
1. Accounts
Most accounts are created by an organization for its people. Your organization decides who gets an account, what training is assigned, and when access ends. Keep your credentials confidential; you are responsible for activity under your account. Tell us promptly if you believe your account has been used without your permission.
You must be at least 16 years old to use the Service.
2. What we provide
We provide the Service on a subscription basis to organizations, under the plan and term agreed with that organization. We aim to keep the Service available and correct, and we may change, improve, or discontinue features. If we make a material change that reduces core functionality during a paid term, we will tell the organization that subscribes.
3. Acceptable use
Do not:
- Complete training, assessments, or acknowledgments on behalf of someone else, or ask anyone to do so for you.
- Share, resell, or republish course content, assessment questions, or answer keys.
- Attempt to access another organization's data, or another person's account.
- Probe, scan, or interfere with the security or integrity of the Service, or attempt to circumvent access controls or usage limits.
- Upload anything unlawful, infringing, or malicious.
- Use the Service to build a competing product, or scrape it at scale.
Compliance records are only worth what their integrity is worth. Falsifying a completion or an attestation is a material breach of these terms, and we may suspend an account for it.
4. Certificates and credentials
Certificates issued through the Service record that a person completed a specific program on a specific date under a specific version of the material. Each carries a verification link that third parties may check.
A certificate is a record of completed training. It is not a professional license, an accreditation, or a warranty that any person is qualified for any particular task, and it is not legal advice about whether your organization satisfies any law or standard. Determining what training your obligations require, and whether you have met them, remains your organization's responsibility.
We may revoke or annotate a credential we have reason to believe was obtained fraudulently.
5. Your content and your data
Your organization keeps ownership of the data it puts into the Service, including any training material it authors. You grant us the rights we need to host, process, and display that material in order to run the Service.
We keep ownership of the Service itself, our own course catalog, and everything we license into it. Nothing here transfers our intellectual property to you.
Our handling of personal information is described in the Privacy Policy.
6. Fees
Subscription fees, seat counts, and billing terms are set out in the order or plan agreed with the subscribing organization. Fees are payable in advance and are non-refundable except where required by law or expressly agreed. We may suspend access for non-payment after notice.
If you bought a subscription through a reseller or agency, your billing relationship is with them, and their terms govern payment.
7. Mobile apps
We grant you a personal, non-transferable, revocable license to install and use the Vigilimate AI mobile apps on devices you control, for as long as your account is active. App store terms also apply to your download. Apple is not a party to these terms and has no obligation to provide support for the app.
8. Suspension and termination
Your organization may close your account at any time. You may delete your own account as described in the Privacy Policy. We may suspend or terminate access for breach of these terms, for non-payment, or where required by law.
When access ends, records your organization is required to retain (including issued credentials and signed acknowledgments) may be retained as described in the Privacy Policy.
9. Disclaimers
Except as expressly stated, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
10. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the fees paid for the Service in the twelve months before the event giving rise to the claim.
Nothing in these terms limits liability that cannot be limited by law.
11. Indemnity
You will defend and indemnify us against third-party claims arising from your unlawful use of the Service, your breach of these terms, or content your organization uploads.
12. Changes
We may update these terms. If a change is material we will give notice in the product or by email before it takes effect. Continuing to use the Service after that means you accept the updated terms.
13. Governing law
These terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of laws rules. The state and federal courts serving York County, Pennsylvania have exclusive jurisdiction, and each party consents to venue there.
